Welcome to RestockR. These Terms of Service ("Terms") govern your access to and use of the RestockR website, mobile applications, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

1. Service Description

RestockR is a Software-as-a-Service (SaaS) platform that provides real-time restock alerts and automated product monitoring for online retailers. Our Service includes:

• Real-time push notifications for product restocks
• Automated product page opening functionality
• Customizable watchlist management
• Multi-retailer monitoring (Target, Amazon, Walmart, Best Buy, and others)
• Mobile application access (iOS and Android)
• Web dashboard access

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years of age to use RestockR. By using the Service, you represent and warrant that you are at least 18 years old.

2.2 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

2.3 Geographic Restrictions

RestockR is intended for use by customers in the United States. We do not advertise to or actively solicit customers outside the United States. By using the Service, you confirm that you are accessing it from within the United States.

3. Subscription Plans and Pricing

3.1 Free Trial

New users may be eligible for a 3-day free trial. During the trial period:

• You will have full access to all premium features
• You must provide valid payment information to activate the trial
• Your payment method will be charged automatically at the end of the trial period unless you cancel
• You may cancel at any time during the trial period without being charged
• Only one free trial is allowed per customer

3.2 Paid Subscriptions

After your free trial, your subscription will automatically renew on a monthly or annual basis (depending on your selected plan) at the then-current subscription rate. Subscription fees are:

• Billed in advance on a recurring basis
• Non-refundable except as expressly provided in Section 4
• Subject to change with 30 days' advance notice

3.3 Payment Processing

We use Stripe as our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for keeping your payment information current.

3.4 Failed Payments

If a payment fails:

• We will attempt to process the payment up to 3 times over a 7-day period
• You will receive email notifications about failed payments
• Your access may be suspended until payment is received
• Your account may be terminated if payment fails after the grace period

4. Cancellation and Refund Policy

4.1 No Refund Policy

ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. This includes but is not limited to:

• Monthly or annual subscription charges
• Change of mind or dissatisfaction with the Service
• Failure to use the Service
• Failure to cancel before a renewal date
• Duplicate charges (you are responsible for managing your subscriptions)
• Partial month usage (no prorated refunds)
• Service unavailability or downtime
• Missed restock notifications
• Account suspension or termination due to Terms violations

4.2 Free Trial Period

We encourage you to thoroughly evaluate RestockR during your 3-day free trial before your subscription begins. The free trial is your opportunity to:

• Test all features and functionality
• Verify the Service meets your needs
• Ensure compatibility with your devices
• Evaluate notification speed and accuracy

Once your free trial ends and you are charged, that payment is final and non-refundable.

4.3 Exceptions (Billing Errors Only)

The ONLY exceptions to our no-refund policy are:

• Duplicate Billing Error: If you are charged multiple times for the same subscription period due to a technical error on our end, we will refund the duplicate charge(s)
• Unauthorized Access: If fraudulent charges occur due to unauthorized access to your payment method (not your RestockR account), and you provide a police report, we will work with you on a case-by-case basis

We reserve the right to determine, in our sole discretion, whether an exception applies. Refund requests must be submitted within 30 days of the charge.

4.4 How to Cancel

While we do not offer refunds, you can cancel your subscription at any time to prevent future charges:

• Your account dashboard at restockr.app/profile
• The Stripe customer portal (accessible from your account)
• Emailing support at [email protected]

4.5 Effect of Cancellation

When you cancel your subscription:

• Your subscription will remain active until the end of your current billing period
• You will continue to have full access to all features until your subscription expires
• No additional charges will be made after the current period ends
• You will not be charged a cancellation fee
• You will NOT receive a refund for the remaining time in your billing period
• Your data will be retained for 30 days after expiration, after which it may be permanently deleted

4.6 Your Responsibility

You are responsible for:

• Managing your subscription and canceling before unwanted renewals
• Monitoring your billing dates and renewal reminders
• Ensuring your payment method is current and accurate
• Reviewing these Terms before subscribing
• Using the free trial period to evaluate the Service

4.7 Account Reactivation

If you cancel and later decide to return:

• You may reactivate your account at any time by subscribing again
• You will not be eligible for another free trial
• Your previous settings and watchlist may be restored if within 30 days of cancellation
• Reactivation requires a new subscription payment

5. Acceptable Use Policy

5.1 Permitted Use

You may use RestockR for personal, non-commercial purposes to monitor product availability and receive restock notifications.

5.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Resell, redistribute, or provide access to the Service to third parties
• Use automated systems (bots, scripts) to abuse or overload the Service
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Interfere with or disrupt the Service or servers
• Use the Service to engage in scalping, price manipulation, or fraudulent activities
• Share your account credentials with others
• Create multiple accounts to abuse free trials or promotions
• Use the Service in any way that could harm RestockR or its users
• Scrape, crawl, or harvest data from the Service
• Attempt to bypass rate limits or access restrictions

5.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you:

• Violate these Terms
• Engage in fraudulent activity
• Abuse the Service or harm other users
• Fail to pay subscription fees

Upon termination, your right to use the Service will immediately cease. No refunds will be provided for terminations due to Terms violations.

6. Service Availability and Limitations

6.1 Service Availability

We strive to provide reliable Service, but we do not guarantee:

• 100% uptime or availability
• Error-free or uninterrupted Service
• That all restocks will be detected or notified
• Specific response times for notifications
• Accuracy of third-party retailer data

6.2 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue the Service at any time
• Add or remove features
• Change supported retailers
• Update notification delivery methods

We will provide reasonable notice of significant changes when possible.

6.3 Rate Limits and Fair Use

To ensure quality service for all users, we may implement:

• Limits on the number of SKUs you can monitor
• Notification frequency caps
• API rate limits
• Device connection limits

7. Third-Party Services and Affiliate Links

7.1 Third-Party Retailers

RestockR monitors third-party retailer websites. We are not affiliated with, endorsed by, or responsible for:

• The products sold by retailers
• Retailer pricing, availability, or policies
• Product quality or delivery
• Retailer website functionality or changes
• Your purchases from retailers

7.2 Affiliate Relationships

RestockR participates in affiliate programs with retailers including Amazon Associates, Best Buy, eBay, and many others through Mavely. When you click product links in our Service, we may earn a commission from qualifying purchases. This does not affect the price you pay or our monitoring services.

7.3 Amazon Disclaimer

RestockR is a participant in the Amazon Services LLC Associates Program, an affiliate advertising program designed to provide a means for sites to earn advertising fees by advertising and linking to Amazon.com.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service and all content, features, and functionality are owned by Restockr, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal use in accordance with these Terms.

8.3 Trademarks

RestockR, the RestockR logo, and other marks are trademarks of Restockr, LLC. You may not use these marks without our prior written consent.

8.4 Third-Party Trademarks

RestockR is not affiliated with or endorsed by The Pokémon Company, Nintendo, Game Freak, or Creatures Inc. All Pokémon-related trademarks, logos, and images are property of their respective owners. References to Pokémon products are used for informational purposes only to help users locate publicly available retail listings.

8.5 User Content

You retain ownership of any content you provide to the Service (such as watchlist data). By using the Service, you grant us a worldwide, non-exclusive license to use, store, and process your content solely to provide the Service.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9.1 Data Collection

We collect:

• Account information (email, username)
• Payment information (processed by Stripe)
• Usage data (watchlists, notification preferences)
• Device information (for push notifications)
• Analytics data (to improve the Service)

9.2 Data Security

We implement industry-standard security measures to protect your data, including encryption, secure servers, and access controls. However, no method of transmission over the Internet is 100% secure.

9.3 Data Retention

We retain your data for as long as your account is active and for 30 days after cancellation. You may request data deletion by contacting support.

10. Disclaimers and Limitation of Liability

10.1 "AS IS" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will meet your requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Notifications will be accurate, complete, or timely
• Any errors will be corrected
• The Service is free of viruses or harmful components

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTOCKR, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Loss of business opportunity
• Missed product restocks or purchases
• Damage to reputation
• Cost of substitute goods or services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10.3 Indemnification

You agree to indemnify, defend, and hold harmless Restockr, LLC, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

11. Dispute Resolution

11.1 Informal Resolution

If you have a dispute with us, please contact us at [email protected] and we will attempt to resolve it informally.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

11.3 Arbitration Agreement

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may bring a claim in small claims court if it qualifies.

11.4 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, YOU AGREE THAT:

• NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER
• THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS
• YOU ARE WAIVING YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT

12. General Provisions

12.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending an email to your registered email address
• Displaying a notice in the Service

Your continued use of the Service after changes constitutes acceptance of the updated Terms.

12.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Restockr, LLC regarding the Service and supersede all prior agreements.

12.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations without restriction.

12.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, fuel, energy, labor, or materials.

12.7 Export Compliance

The Service may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and import laws and regulations in your use of the Service.

12.8 Survival

Sections that by their nature should survive termination shall survive, including but not limited to: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.
